Geheimhaltungsvereinbarung englisch: Muster für NDA und Confidentiality Agreement nach deutschem Recht

Eine Geheimhaltungsvereinbarung auf Englisch braucht die Rechtsabteilung immer dann, wenn der Vertragspartner im Ausland sitzt oder die Konzernsprache Englisch ist: vor der Anfrage an einen ausländischen Lieferanten, vor dem ersten Technikgespräch, bei Entwicklungskooperationen und vor dem Teaser im Unternehmensverkauf. Geheimhaltungsvereinbarung heißt auf Englisch Non-Disclosure Agreement (NDA) oder Confidentiality Agreement; die gegenseitige Fassung ist die Mutual NDA. Eine englische NDA kann deutschem Recht unterliegen (Art. 3 Abs. 1 Rom-I-VO). Dann sollte die Strafe als Vertragsstrafe nach §§ 339 ff. BGB bezeichnet sein, nicht als „liquidated damages“, der Gerichtsstand geregelt und bei zwei Sprachfassungen die maßgebliche bestimmt sein.

Englische Formeln, nach denen ein Gericht eine unwirksame Klausel „modify“ soll, laufen in AGB ins Leere: An ihre Stelle treten die gesetzlichen Vorschriften (§ 306 Abs. 2 BGB). Mehr dazu im Beitrag zur salvatorischen Klausel und ihrer englischen Fassung.

Worauf Sie bei einer englischen NDA nach deutschem Recht achten müssen

Englischer Wortlaut und deutsches Recht vertragen sich, wenn sieben Punkte geregelt sind. Für die Rechtsabteilung sind es zugleich die Prüfpunkte bei eingehenden englischen Vorlagen.

1. Rechtswahl ausdrücklich treffen

Englisch als Vertragssprache heißt nicht englisches Recht. Nach Art. 3 Abs. 1 Rom-I-VO unterliegt der Vertrag dem Recht, das die Parteien wählen; die Wahl muss ausdrücklich erfolgen oder sich eindeutig aus dem Vertrag oder den Umständen ergeben. Fehlt sie, richtet sich das Recht nach Art. 4 Rom-I-VO, also nach der charakteristischen Leistung oder der engsten Verbindung, und das ist bei einer Mutual NDA mit identischen Pflichten schwer vorherzusagen. Umgekehrt gilt: Sind alle übrigen Elemente des Falls in Deutschland belegen, etwa bei zwei deutschen GmbHs, bleibt zwingendes deutsches Recht auch bei Wahl englischen Rechts anwendbar (Art. 3 Abs. 3 Rom-I-VO).

2. Gerichtsstand: ZPO, Brüssel-Ia-VO und Geschäftsgeheimnisgesetz

Zwischen Kaufleuten lässt sich ein Gerichtsstand nach § 38 Abs. 1 ZPO vereinbaren. Wählen Parteien mit Auslandsbezug die Gerichte eines EU-Mitgliedstaats, gilt Art. 25 Brüssel-Ia-VO, unabhängig vom Wohnsitz der Parteien: Die Vereinbarung muss schriftlich oder mündlich mit schriftlicher Bestätigung geschlossen werden, elektronische Übermittlungen mit dauerhafter Aufzeichnung stehen der Schriftform gleich (Art. 25 Abs. 1 Satz 3 Buchst. a, Abs. 2).

Nach deutschem Prozessrecht gilt zusätzlich: Für Klagen aus dem Geschäftsgeheimnisgesetz sind ausschließlich die Landgerichte zuständig, örtlich das Gericht am allgemeinen Gerichtsstand des Beklagten; hat er im Inland keinen, das Gericht, in dessen Bezirk die Handlung begangen wurde (§ 15 Abs. 1 und 2 GeschGehG). Eine abweichende Vereinbarung ist insoweit unzulässig (§ 40 Abs. 2 Satz 1 Nr. 2 ZPO). Die Gerichtsstandsklausel wirkt deshalb vor allem für die vertraglichen Ansprüche, also Vertragsstrafe und vertraglichen Schadensersatz.

3. Vertragsstrafe statt „liquidated damages“ oder „penalty“

Englische Vorlagen sprechen meist von „liquidated damages“, also einem pauschalierten Schadensersatz, nicht von einer Vertragsstrafe. „Penalty“ meiden sie, weil englische Gerichte eine Klausel nicht durchsetzen, die dem Vertragsbrüchigen einen Nachteil außer jedem Verhältnis zu einem berechtigten Interesse des anderen Teils an der Erfüllung auferlegt (UK Supreme Court, Urteil vom 4. November 2015, Cavendish Square Holding BV v Talal El Makdessi, [2015] UKSC 67, Rn. 32).

Nach deutschem Recht ist die Vertragsstrafe dagegen ein anerkanntes Druckmittel. Geht es um ein Unterlassen wie die Geheimhaltung, ist sie mit der Zuwiderhandlung verwirkt (§ 339 Satz 2 BGB), ohne dass ein Schaden nachgewiesen werden muss. Die Vorlagen unten bezeichnen sie deshalb als „contractual penalty (Vertragsstrafe)“.

In vorformulierten NDAs gegenüber Unternehmern gilt § 309 BGB nicht (§ 310 Abs. 1 BGB); dessen Nr. 6 erfasst ohnehin nur Strafen für Nichtabnahme, Zahlungsverzug oder Lösung vom Vertrag. Die Strafe unterliegt aber der Inhaltskontrolle nach § 307 BGB (BGH, Urteil vom 13. November 2013, I ZR 77/12, Rn. 12).

4. Höhe der Strafe: Hamburger Brauch, § 348 HGB und eine teure Übersetzung

Unter Kaufleuten kann das Gericht eine überhöhte Strafe nicht nach § 343 BGB herabsetzen (§ 348 HGB); die Parteien können diesen Ausschluss aber abbedingen (BGH, I ZR 77/12). Für ein vorformuliertes Strafversprechen in einer Unterlassungserklärung hat der BGH entschieden: Unwirksam ist es, wenn die Strafe „bereits auf den ersten Blick außer Verhältnis“ zum Verstoß steht (Leitsatz 1). Ob Gerichte diesen großzügigen Maßstab auf NDAs übertragen, ist offen. Variante A der Vorlagen folgt deshalb dem neuen Hamburger Brauch: Die verletzte Partei bestimmt die Höhe nach billigem Ermessen, das Gericht kann sie überprüfen (§ 315 BGB).

Vorsicht bei der Formel „to the exclusion of any continuation“, die als Übersetzung des „Ausschlusses des Fortsetzungszusammenhangs“ in englischen Vorlagen auftaucht. Das OLG Frankfurt am Main hat einen solchen uneingeschränkten Verzicht in AGB als unangemessene Benachteiligung gewertet und die gesamte Strafvereinbarung verworfen (Urteil vom 23. Juli 2020, 6 U 91/19).

5. Common-Law-Begriffe, die im deutschen Recht nicht passen

„In consideration of the mutual covenants“ ist nach deutschem Recht überflüssig: Ein Vertrag kommt durch Antrag und Annahme zustande (§§ 145 ff. BGB), eine Gegenleistung im Sinne der „consideration“ ist nicht erforderlich. „Best efforts“ und „reasonable efforts“ haben im deutschen Recht keine feste Bedeutung; das Gericht legt sie nach §§ 133, 157 BGB aus. „Indemnify and hold harmless“ begründet eine Freistellungspflicht, deren Voraussetzungen die Klausel selbst nennen sollte.

Auch „in writing“ ist mehrdeutig: Gemeint sein kann die vereinbarte Schriftform (§ 127 BGB) oder die bloße Textform (§ 126b BGB). Die Vorlagen unten schreiben deshalb „text form (Textform)“, damit eine E-Mail genügt. Ist die englische NDA der Gegenseite vorformuliert, gehen Zweifel bei der Auslegung zu Lasten des Verwenders (§ 305c Abs. 2 BGB).

6. Geschäftsgeheimnisgesetz: angemessene Maßnahmen und Reverse Engineering

Ein Geschäftsgeheimnis setzt angemessene Geheimhaltungsmaßnahmen voraus (§ 2 Nr. 1 Buchst. b GeschGehG); die NDA ist eine davon. Die englische Fassung der zugrunde liegenden Richtlinie (EU) 2016/943 spricht von „reasonable steps under the circumstances ... to keep it secret“ (Art. 2 Nr. 1 Buchst. c). Die Vorlagen verwenden daher „reasonable secrecy measures (angemessene Geheimhaltungsmaßnahmen)“.

Die zweite Lücke betrifft Muster, Prototypen und Software. § 3 Abs. 1 Nr. 2 Buchst. b GeschGehG erlaubt das Beobachten, Untersuchen, Rückbauen oder Testen eines Gegenstands im rechtmäßigen Besitz, wenn keine Pflicht zur Beschränkung der Erlangung besteht. Manche frei abrufbaren englischen Vorlagen enthalten kein Rückbauverbot; die Muster unten enthalten es als Option. Für öffentlich verfügbar gemachte Produkte fehlt dieser Vorbehalt (Buchst. a).

7. Sprache und maßgebliche Fassung

Werden eine deutsche und eine englische Fassung unterschrieben, muss feststehen, welche bei Abweichungen gilt. Für die deutsche Fassung spricht, dass die Gerichtssprache Deutsch ist (§ 184 GVG) und das Gericht zu einer fremdsprachigen Urkunde eine Übersetzung anordnen kann (§ 142 Abs. 3 ZPO). Seit dem 1. April 2025 können die Länder allerdings Commercial Chambers an Landgerichten einrichten, vor denen ausgewählte Wirtschaftsstreitigkeiten vollständig auf Englisch verhandelt werden, wenn die Parteien das vereinbaren oder sich der Beklagte rügelos darauf einlässt (§ 184a GVG).

Wer die englische Fassung maßgeblich macht, sollte die deutschen Rechtsbegriffe in Klammern mitführen, wie es die Vorlagen tun: „contractual penalty (Vertragsstrafe)“, „text form (Textform)“, „reasonable discretion (billiges Ermessen)“. So bleibt klar, welches Rechtsinstitut gemeint ist.

Vorlagen: NDA auf Englisch nach deutschem Recht

Alle drei Muster folgen der Gliederung der deutschen Vorlage: § 1 bis § 9 entsprechen Section 1 bis Section 9. Platzhalter stehen in eckigen Klammern und Großbuchstaben, Optionen sind als [OPTION] oder [VARIANT] markiert.

Ausfüllhinweise für Rechtsabteilung, Einkauf und Vertrieb

  1. 1.

    Muster wählen. Legen beide Seiten nennenswert offen, nehmen Sie Muster 1; legen vor allem Sie offen, Muster 2. Schickt die Gegenseite eine Mutual NDA, obwohl Sie fast nichts offenlegen, tragen Sie Strafe und Pflichten trotzdem mit.

  2. 2.

    Zweck konkret benennen. „The evaluation of a supply of dosing units, project D-24“ schützt besser als „in connection with the business relationship“, denn der Zweck zieht die Grenze der erlaubten Nutzung (§ 3 Abs. 2 GeschGehG).

  3. 3.

    Beispiele eintragen statt alles zu erfassen. Nennen Sie in Section 1 (2) die Informationen, um die es wirklich geht.

  4. 4.

    Rückbauverbot behalten, wenn Sie Muster, Prototypen oder Software übergeben (Section 3 (2)). Andernfalls können Sie den Absatz streichen.

  5. 5.

    Vertragsstrafe bewusst wählen. Variante A (neuer Hamburger Brauch), B (fester Betrag) oder C (keine). Ein offensichtlich überhöhter fester Betrag gefährdet in vorformulierten Verträgen die ganze Klausel (§ 307 BGB). Ergänzen Sie weder „liquidated damages“ noch eine „continuation“-Formel. Bei Variante B entscheiden Sie, ob die Herabsetzung nach § 343 BGB auch unter Kaufleuten erhalten bleiben soll.

  6. 6.

    Gerichtsstand eintragen. Mit einem inländischen Vertragspartner lässt sich der Gerichtsstand im Voraus vor allem zwischen Kaufleuten vereinbaren (§ 38 Abs. 1 ZPO). Die deutsche Vorlage schreibt diese Bedingung aus, die englische Fassung sagt „legally permissible“, weil bei Partnern im Ausland Art. 25 Brüssel-Ia-VO gilt. Den ausschließlichen Gerichtsstand des § 15 GeschGehG nimmt die Klausel aus.

  7. 7.

    Sprache festlegen. Muster 1 und 2 sind rein englisch. Unterschreiben Sie zusätzlich die deutsche Fassung, übernehmen Sie Section 9 (5) und tragen Sie die maßgebliche Sprache ein; vorgeschlagen ist wie in der deutschen Vorlage Deutsch.

  8. 8.

    Vor der ersten Offenlegung unterschreiben. Lassen Sie die NDA von vertretungsberechtigten Personen beider Seiten unterzeichnen, bevor Unterlagen, Zugänge oder Muster herausgehen.

Muster 1: Mutual NDA (gegenseitige Geheimhaltungsvereinbarung auf Englisch)

Wann verwenden: wenn beide Seiten nennenswert Informationen offenlegen, etwa bei einer Entwicklungskooperation, einem Joint Venture oder einem Technologieaustausch mit einem ausländischen Partner.

Each Party shall be the "Disclosing Party" to the extent it discloses information and the "Receiving Party" to the extent it receives information. All obligations under this Agreement apply equally to both Parties.

Preamble

The Parties are holding discussions regarding [PURPOSE, e.g. the joint development of ...] (the "Purpose"). For this Purpose, the Parties will make confidential information available to each other. The Parties therefore agree as follows:

Section 1 Confidential Information

(1) "Confidential Information" means all information which the Disclosing Party, or persons acting on its behalf, makes available to the Receiving Party in connection with the Purpose from [START OF DISCLOSURE] in written, electronic, oral or any other form, and which

a) is marked as "confidential" or in a comparable manner,
b) is disclosed orally or during a visit and designated as confidential in text form (Textform) within [CONFIRMATION PERIOD: 14] days, or
c) is clearly confidential to a reasonable recipient by its nature or by the circumstances of its disclosure.

(2) Confidential Information includes in particular: [EXAMPLES, e.g. technical drawings, bills of materials, formulas, process parameters, source code, cost calculations, prices, customer lists, samples and prototypes].

(3) Confidential Information also includes copies, extracts, summaries and analyses to the extent that they contain or reveal Confidential Information.

Section 2 Exclusions

(1) The obligations under this Agreement shall not apply to information which

a) is publicly known at the time of disclosure or later becomes publicly known without a breach of this Agreement,
b) was demonstrably already known to the Receiving Party at the time of disclosure,
c) the Receiving Party has lawfully received from a third party without an obligation of confidentiality, or
d) the Receiving Party has demonstrably developed independently and without use of Confidential Information.

(2) The Receiving Party may disclose Confidential Information to the extent it is obliged to do so by law or by order of a public authority or court. It shall inform the Disclosing Party in advance, to the extent legally permissible, and limit the disclosure to the extent required.

(3) The Receiving Party bears the burden of proof for the requirements of an exclusion.

(4) Rights under the German Whistleblower Protection Act (Hinweisgeberschutzgesetz) and under Section 5 of the German Trade Secrets Act (Gesetz zum Schutz von Geschäftsgeheimnissen, GeschGehG) remain unaffected.

Section 3 Obligations of the Receiving Party

(1) The Receiving Party shall keep Confidential Information secret, use it solely for the Purpose and protect it with at least the degree of care it applies to its own information of comparable importance, and in any event by reasonable secrecy measures (angemessene Geheimhaltungsmaßnahmen).

(2) [OPTIONAL, IF ITEMS ARE HANDED OVER] The Receiving Party shall examine or test samples, prototypes, software and other items provided only to the extent required for the Purpose. Without the prior consent of the Disclosing Party in text form, it shall neither disassemble nor reverse engineer them nor otherwise analyse them in order to determine their structure, composition or functionality. Mandatory statutory rights remain unaffected.

(3) The Receiving Party shall not file any applications for intellectual property rights on the basis of Confidential Information.

(4) The Receiving Party shall notify the Disclosing Party without undue delay (unverzüglich) as soon as it becomes aware of any unauthorised use or disclosure of Confidential Information.

Section 4 Disclosure to Third Parties

(1) The Receiving Party may make Confidential Information available only to those members of its corporate bodies, employees and advisers who need it for the Purpose and who have previously been bound to confidentiality at least to the same extent or are subject to a professional duty of confidentiality.

(2) [OPTION AFFILIATES] Paragraph 1 applies accordingly to companies affiliated with the Receiving Party within the meaning of Section 15 of the German Stock Corporation Act (Aktiengesetz).

(3) The Receiving Party shall be liable for the conduct of all persons to whom it makes Confidential Information available under this Section 4 as for its own conduct.

Section 5 No Further Rights and Obligations

(1) All rights in the Confidential Information remain with the Disclosing Party. This Agreement does not grant any licence or other rights of use beyond the Purpose.

(2) The disclosure does not constitute any assurance (Zusicherung) as to the accuracy or completeness of the Confidential Information.

(3) Neither Party is obliged to disclose information or to enter into any further agreement.

Section 6 Return and Deletion

(1) Upon request of the Disclosing Party, but no later than [RETURN PERIOD: 14] days after the end of the Disclosure Period (Section 8 (1)), the Receiving Party shall, at the Disclosing Party's option, return or destroy all documents and other materials containing Confidential Information, including copies, and delete electronically stored Confidential Information. It shall confirm this in text form. If a subsequent main agreement governs the handling of the information, that agreement shall prevail.

(2) This shall not apply to copies which must be retained under statutory retention obligations or to data in automated backup systems which cannot be deleted with reasonable effort. Such copies remain subject to this Agreement and may not be used.

Section 7 Contractual Penalty

(1) [VARIANT A, NEW HAMBURG CUSTOM (NEUER HAMBURGER BRAUCH)] For each culpable breach of Section 3 or Section 4, each Party undertakes to pay to the injured Party a contractual penalty (Vertragsstrafe), the amount of which shall be determined by the injured Party at its reasonable discretion (billiges Ermessen) and which, in the event of a dispute, may be reviewed for its appropriateness by the competent court.

(1) [VARIANT B, FIXED AMOUNT] For each culpable breach of Section 3 or Section 4, each Party undertakes to pay to the injured Party a contractual penalty (Vertragsstrafe) of EUR [AMOUNT]. [OPTIONAL: A disproportionately high contractual penalty may be reduced under Section 343 of the German Civil Code (Bürgerliches Gesetzbuch) even between merchants; Section 348 of the German Commercial Code (Handelsgesetzbuch) shall not apply.]

(2) Further claims, in particular for injunctive relief (Unterlassung) and damages, remain unaffected. A forfeited contractual penalty shall be credited against any claim for damages arising from the same breach.

[VARIANT C, NO CONTRACTUAL PENALTY] Section 7 reads only: "No contractual penalty is agreed. Claims for injunctive relief and damages remain unaffected." The numbering of the following Sections remains unchanged so that the cross-references stay correct.

Section 8 Term

(1) This Agreement shall enter into force upon signature by both Parties. It covers Confidential Information disclosed until [END OF DISCLOSURE PERIOD] or until an earlier end of the discussions (the "Disclosure Period"). Either Party may end the discussions at any time by notice in text form.

(2) The obligations under Sections 3, 4 and 6 shall survive the end of the Disclosure Period for [NUMBER] years. For Confidential Information constituting trade secrets within the meaning of Section 2 No. 1 GeschGehG, they shall continue to apply for as long as these requirements are met.

Section 9 Final Provisions

(1) This Agreement shall be governed by the laws of the Federal Republic of Germany.

(2) Place of jurisdiction for all disputes arising out of or in connection with this Agreement shall be [PLACE OF JURISDICTION], Germany, to the extent that a choice of court is legally permissible and no statutory exclusive place of jurisdiction applies.

(3) Amendments and supplements to this Agreement require text form (Textform).

Wann verwenden: wenn vor allem Sie offenlegen, etwa gegenüber einem ausländischen Lieferanten vor einer Anfrage oder gegenüber einem Kaufinteressenten, der nach dem Teaser das Information Memorandum erhalten soll. Für die Transaktionsphase ist die zusätzliche Option in Section 3 (5) gedacht, die die deutsche Vorlage nicht enthält.

Preamble

The Parties are holding discussions regarding [PURPOSE, e.g. the supply of ... or the possible acquisition of ...] (the "Purpose"). For this Purpose, the Disclosing Party will make confidential information available to the Receiving Party. The Parties therefore agree as follows:

Section 1 Confidential Information

(1) "Confidential Information" means all information which the Disclosing Party, or persons acting on its behalf, makes available to the Receiving Party in connection with the Purpose from [START OF DISCLOSURE] in written, electronic, oral or any other form, and which

a) is marked as "confidential" or in a comparable manner,
b) is disclosed orally or during a visit and designated as confidential in text form (Textform) within [CONFIRMATION PERIOD: 14] days, or
c) is clearly confidential to a reasonable recipient by its nature or by the circumstances of its disclosure.

(2) Confidential Information includes in particular: [EXAMPLES, e.g. technical drawings, specifications, cost calculations, prices, customer lists, financial information, business plans, samples and prototypes].

(3) Confidential Information also includes copies, extracts, summaries and analyses to the extent that they contain or reveal Confidential Information.

Section 2 Exclusions

(1) The obligations under this Agreement shall not apply to information which

a) is publicly known at the time of disclosure or later becomes publicly known without a breach of this Agreement,
b) was demonstrably already known to the Receiving Party at the time of disclosure,
c) the Receiving Party has lawfully received from a third party without an obligation of confidentiality, or
d) the Receiving Party has demonstrably developed independently and without use of Confidential Information.

(2) The Receiving Party may disclose Confidential Information to the extent it is obliged to do so by law or by order of a public authority or court. It shall inform the Disclosing Party in advance, to the extent legally permissible, and limit the disclosure to the extent required.

(3) The Receiving Party bears the burden of proof for the requirements of an exclusion.

(4) Rights under the German Whistleblower Protection Act (Hinweisgeberschutzgesetz) and under Section 5 of the German Trade Secrets Act (Gesetz zum Schutz von Geschäftsgeheimnissen, GeschGehG) remain unaffected.

Section 3 Obligations of the Receiving Party

(1) The Receiving Party shall keep Confidential Information secret, use it solely for the Purpose and protect it with at least the degree of care it applies to its own information of comparable importance, and in any event by reasonable secrecy measures (angemessene Geheimhaltungsmaßnahmen).

(2) [OPTIONAL, IF ITEMS ARE HANDED OVER] The Receiving Party shall examine or test samples, prototypes, software and other items provided only to the extent required for the Purpose. Without the prior consent of the Disclosing Party in text form, it shall neither disassemble nor reverse engineer them nor otherwise analyse them in order to determine their structure, composition or functionality. Mandatory statutory rights remain unaffected.

(3) The Receiving Party shall not file any applications for intellectual property rights on the basis of Confidential Information.

(4) The Receiving Party shall notify the Disclosing Party without undue delay (unverzüglich) as soon as it becomes aware of any unauthorised use or disclosure of Confidential Information.

(5) [OPTION TRANSACTION] The Receiving Party shall also keep confidential the fact that discussions regarding the Purpose are taking place and the content of these discussions.

Section 4 Disclosure to Third Parties

(1) The Receiving Party may make Confidential Information available only to those members of its corporate bodies, employees and advisers who need it for the Purpose and who have previously been bound to confidentiality at least to the same extent or are subject to a professional duty of confidentiality.

(2) [OPTION AFFILIATES] Paragraph 1 applies accordingly to companies affiliated with the Receiving Party within the meaning of Section 15 of the German Stock Corporation Act (Aktiengesetz).

(3) The Receiving Party shall be liable for the conduct of all persons to whom it makes Confidential Information available under this Section 4 as for its own conduct.

Section 5 No Further Rights and Obligations

(1) All rights in the Confidential Information remain with the Disclosing Party. This Agreement does not grant any licence or other rights of use beyond the Purpose.

(2) The disclosure does not constitute any assurance (Zusicherung) as to the accuracy or completeness of the Confidential Information.

(3) Neither Party is obliged to disclose information or to enter into any further agreement.

Section 6 Return and Deletion

(1) Upon request of the Disclosing Party, but no later than [RETURN PERIOD: 14] days after the end of the Disclosure Period (Section 8 (1)), the Receiving Party shall, at the Disclosing Party's option, return or destroy all documents and other materials containing Confidential Information, including copies, and delete electronically stored Confidential Information. It shall confirm this in text form. If a subsequent main agreement governs the handling of the information, that agreement shall prevail.

(2) This shall not apply to copies which must be retained under statutory retention obligations or to data in automated backup systems which cannot be deleted with reasonable effort. Such copies remain subject to this Agreement and may not be used.

Section 7 Contractual Penalty

(1) [VARIANT A, NEW HAMBURG CUSTOM (NEUER HAMBURGER BRAUCH)] For each culpable breach of Section 3 or Section 4, the Receiving Party undertakes to pay a contractual penalty (Vertragsstrafe), the amount of which shall be determined by the Disclosing Party at its reasonable discretion (billiges Ermessen) and which, in the event of a dispute, may be reviewed for its appropriateness by the competent court.

(1) [VARIANT B, FIXED AMOUNT] For each culpable breach of Section 3 or Section 4, the Receiving Party undertakes to pay a contractual penalty (Vertragsstrafe) of EUR [AMOUNT]. [OPTIONAL: A disproportionately high contractual penalty may be reduced under Section 343 of the German Civil Code (Bürgerliches Gesetzbuch) even between merchants; Section 348 of the German Commercial Code (Handelsgesetzbuch) shall not apply.]

(2) Further claims, in particular for injunctive relief (Unterlassung) and damages, remain unaffected. A forfeited contractual penalty shall be credited against any claim for damages arising from the same breach.

[VARIANT C, NO CONTRACTUAL PENALTY] Section 7 reads only: "No contractual penalty is agreed. Claims for injunctive relief and damages remain unaffected." The numbering of the following Sections remains unchanged so that the cross-references stay correct.

Section 8 Term

(1) This Agreement shall enter into force upon signature by both Parties. It covers Confidential Information disclosed until [END OF DISCLOSURE PERIOD] or until an earlier end of the discussions (the "Disclosure Period"). Either Party may end the discussions at any time by notice in text form.

(2) The obligations under Sections 3, 4 and 6 shall survive the end of the Disclosure Period for [NUMBER] years. For Confidential Information constituting trade secrets within the meaning of Section 2 No. 1 GeschGehG, they shall continue to apply for as long as these requirements are met.

Section 9 Final Provisions

(1) This Agreement shall be governed by the laws of the Federal Republic of Germany.

Englische NDA mit Lulius prüfen

Häufige Fragen zur Geheimhaltungsvereinbarung auf Englisch

Ist eine englische NDA in Deutschland wirksam?

Ja. Für eine NDA zwischen Unternehmen schreibt das deutsche Recht keine Vertragssprache vor, und das anwendbare Recht können die Parteien frei wählen (Art. 3 Abs. 1 Rom-I-VO). Im Prozess kann das Gericht eine Übersetzung anordnen (§ 142 Abs. 3 ZPO). Unwirksam sein können einzelne Klauseln, etwa eine überhöhte Vertragsstrafe in vorformulierten Bedingungen (§ 307 BGB).

Was ist der Unterschied zwischen NDA und Confidentiality Agreement?

Rechtlich keiner. Beide Begriffe bezeichnen einen Vertrag, in dem sich eine oder beide Seiten verpflichten, vertrauliche Informationen geheim zu halten und nur für einen bestimmten Zweck zu nutzen. Ob sie einseitig oder gegenseitig ist, ergibt sich aus den Pflichten im Text, nicht aus dem Titel.

Was bedeutet Mutual NDA?

Mutual NDA ist die gegenseitige Geheimhaltungsvereinbarung. Jede Partei ist offenlegende Partei, soweit sie Informationen gibt, und empfangende Partei, soweit sie welche erhält; alle Pflichten gelten für beide gleichermaßen. Sie passt bei Kooperationen und Entwicklungspartnerschaften. Legen Sie selbst fast nichts offen, ist eine One-way NDA die passendere Wahl.

Gilt deutsches Recht, wenn die NDA auf Englisch ist?

Nur wenn die Parteien es wählen oder es sich ohne Wahl aus Art. 4 Rom-I-VO ergibt; die Vertragssprache allein entscheidet nicht. Schreiben Sie ausdrücklich „This Agreement shall be governed by the laws of the Federal Republic of Germany“ (Art. 3 Abs. 1 Rom-I-VO), wie Section 9 (1) der Muster. Liegt der Fall sonst ganz in Deutschland, bleibt zwingendes deutsches Recht auch bei Wahl englischen Rechts anwendbar (Art. 3 Abs. 3 Rom-I-VO).

Muss eine NDA unterschrieben werden?

Das Gesetz schreibt für eine Geheimhaltungsvereinbarung zwischen Unternehmen keine Form vor. Zum Beweis und wegen der Gerichtsstandsklausel ist die Unterschrift trotzdem anzuraten, denn Art. 25 Abs. 1 Brüssel-Ia-VO verlangt bei Auslandsbezug grundsätzlich Schriftform. Elektronisch unterschreiben ist möglich; eine qualifizierte elektronische Signatur hat die gleiche Rechtswirkung wie eine handschriftliche Unterschrift (Art. 25 Abs. 2 eIDAS-VO).

Fazit: Englischer Wortlaut, deutsches Recht

Eine Geheimhaltungsvereinbarung auf Englisch funktioniert nach deutschem Recht, wenn der Text drei Dinge ausdrücklich sagt: welches Recht gilt, dass die Strafe eine Vertragsstrafe ist, und welche Sprachfassung bei Abweichungen maßgeblich ist. Hinzu kommen ein Rückbauverbot für Prototypen und ein Gerichtsstand, der zum Vertragspartner passt.
